READ CAREFULLY. Verifyd provides automated risk

indications about messages. It is not a guarantee of safety. A green

verdict does not mean a message is safe. A red verdict does not prove

a message is fraudulent. You remain responsible for your own decisions.

Do not rely solely on Verifyd. Always verify suspicious messages

directly with the institution involved using contact details from

their official website.

Acceptance of these Terms

These Terms & Conditions ("Terms") govern your use of the

Verifyd service, including the website at www.verifyd.co.za and any

related applications, APIs, channels and tools (collectively, the

"Service").

The Service is operated by Verifyd Technologies (Pty) Ltd,

a private company incorporated in the Republic of South Africa, which

trades as and operates the "Verifyd" service

("Verifyd", "the Company", "we",

"us", "our"). References to "Verifyd"

in these Terms refer to the Service and to Verifyd Technologies (Pty) Ltd

as the contracting party.

By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree, do not use the Service.

These Terms constitute a binding agreement between you and Verifyd in

terms of the Electronic Communications and Transactions Act 25 of 2002

("ECTA") and the Consumer Protection Act 68 of 2008

("CPA").

What the Service Does and Does Not Do

2.1 What Verifyd does

Verifyd is an automated tool that analyses content you submit (such as

a pasted SMS, email, WhatsApp message, or scanned QR code) and produces

an informational risk indication, displayed as a traffic-light verdict

(green, orange, or red) together with reasoning.

You expressly acknowledge and agree that Verifyd:

It means the Service did not detect signals of fraud at the time the

check was run. Scammers continually adapt their methods, and new

scam patterns may not yet be reflected in our data sources.

No Reliance; User Responsibility

THIS IS THE MOST IMPORTANT SECTION OF THESE TERMS. PLEASE READ IT CAREFULLY.

3.1 You are responsible for your own decisions

The Service provides information only. You, and only you, are

responsible for any action you take or refrain from taking based on a

Verifyd verdict, including but not limited to:

You agree that you will not rely solely on a Verifyd verdict,

particularly a green or orange verdict, when deciding whether to act

on a suspicious message. Before making any payment or sharing any

sensitive information in response to a message, you will independently

verify the message by contacting the relevant institution using contact

details obtained from their official website (not contact details

contained in the suspicious message itself).

Permitted Use

You may use the Service only for lawful purposes and in accordance with

these Terms. You agree that you will not:

We reserve the right to rate-limit, suspend, or block access to the

Service for any user who, in our reasonable opinion, has breached these

Terms or whose use threatens the integrity or availability of the

Service for others.

Intellectual Property

All intellectual property rights in the Service, including the Verifyd

name, logo, software, design, content, the curated institution

whitelist, and all underlying check logic, are and remain the property

of Verifyd or its licensors.

Nothing in these Terms grants you any right, title, or interest in the

Service, except a limited, revocable, non-exclusive, non-transferable

licence to use the Service for your own personal, non-commercial

purposes in accordance with these Terms.

You retain ownership of any content you submit to the Service. By

submitting content, you grant Verifyd a worldwide, royalty-free,

non-exclusive licence to process that content for the purpose of

providing the Service to you and (in anonymised, aggregated, or hashed

form) improving and operating the Service.

Third-Party Services and Content

The Service relies on third-party services, including:

Verifyd is not responsible for the availability, accuracy, or content

of these third-party services. Verdicts may change if a third-party

data source is unavailable, returns incorrect data, or updates its

information.

Where the Service displays or processes content provided by you (such

as a pasted message), Verifyd does not endorse that content and makes

no representation about the accuracy, legitimacy, or trustworthiness of

any third party referenced in it.

Disclaimers

To the fullest extent permitted by law:

(a) The Service is provided "as is" and "as available".

Verifyd makes no warranties, representations, or guarantees of any kind,

whether express or implied, including (without limitation) warranties of

merchantability, fitness for a particular purpose, accuracy,

completeness, reliability, security, or non-infringement.

(b) No warranty of accuracy.

Verifyd does not warrant that any verdict produced by the Service is

correct, complete, or current. Verdicts are informational signals based

on automated checks; they are not professional advice or a guarantee.

(c) No warranty of availability.

Verifyd does not warrant that the Service will be uninterrupted,

error-free, or available at all times.

(d) Section 43(5) of ECTA.

Where the CPA does not apply, this clause excludes all warranties to

the maximum extent permitted by law.

(e) CPA preservation.

Where you are a "consumer" as defined in the CPA and the CPA

applies to your use of the Service, nothing in these Terms is intended

to exclude or limit any right you have under the CPA that cannot

lawfully be excluded or limited. In particular, nothing in these Terms

excludes liability for gross negligence or for any other matter that may

not lawfully be excluded.

Limitation of Liability

PLEASE READ THIS SECTION CAREFULLY. IT LIMITS YOUR REMEDIES AGAINST VERIFYD.

8.1 Exclusion of indirect loss

To the maximum extent permitted by law, Verifyd, its directors,

employees, contractors, and licensors will not be liable for any

indirect, incidental, consequential, special, punitive, or exemplary

loss or damage, including (without limitation) loss of profits, loss of

revenue, loss of data, loss of goodwill, business interruption, or pure

economic loss, however arising, even if Verifyd has been advised of the

possibility of such loss.

8.2 Specific exclusions

Without limiting the generality of clause 8.1, Verifyd will not be

liable for any loss or damage arising from or connected with:

8.3 Aggregate cap

To the maximum extent permitted by law, the aggregate liability of

Verifyd to you for all claims arising from or relating to your use of

the Service, whether in contract, delict (tort), statute, or otherwise,

is limited to the greater of (a) the total amount paid by you to

Verifyd for the Service in the 12 months preceding the event giving

rise to the claim, or (b) ZAR 1,000.

8.4 Carve-outs

Nothing in this clause 8 excludes or limits liability for:

You acknowledge that the Service is offered free of charge (or at a

low subscription fee) and that the limitations in this clause 8 are

reasonable and proportionate in that context, and that Verifyd would

not be able to provide the Service on these terms without them.

Indemnity

You agree to indemnify, defend, and hold harmless Verifyd, its

directors, employees, contractors, and licensors against any claim,

demand, loss, liability, cost, or expense (including reasonable legal

fees) arising from or connected with:

Privacy and Data Protection

Your use of the Service is also governed by our

Privacy Policy,

which describes how we collect, use, and protect personal information

in accordance with the Protection of Personal Information Act 4 of 2013

("POPIA"). By using the Service, you confirm that you have

read and understood the Privacy Policy.

Changes to these Terms

We may update these Terms from time to time. The current version will

always be available at www.verifyd.co.za/terms. Material changes will

be flagged on the Service or, where you have provided contact details,

communicated to you. Continued use of the Service after a change

constitutes acceptance of the updated Terms.

Suspension and Termination

Verifyd may, at its sole discretion, modify, suspend, or discontinue

the Service (in whole or in part) at any time, with or without notice.

Verifyd will not be liable to you or any third party for any

modification, suspension, or discontinuation of the Service.

You may stop using the Service at any time. The clauses of these Terms

that by their nature should survive termination (including clauses 3,

5, 7, 8, 9, 13, and 14) will survive.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of South Africa.

Any dispute arising out of or in connection with these Terms or the

Service will be referred to and finally resolved by the courts of the

Western Cape, South Africa, which will have exclusive jurisdiction,

save that Verifyd may, at its option, refer any dispute to arbitration

administered by the Arbitration Foundation of Southern Africa

("AFSA") under its expedited rules.

Where the CPA applies, you may, at your option, refer a dispute to:

General

14.1 Severability

If any provision of these Terms is held to be unenforceable, the

remaining provisions will remain in full force and effect.

14.2 Entire agreement

These Terms (together with the Privacy Policy and Security Statement)

constitute the entire agreement between you and Verifyd in respect of

the Service and supersede all prior agreements, representations, and

understandings.

14.3 No waiver

A failure or delay by Verifyd to enforce any right under these Terms is

not a waiver of that right.

14.4 Assignment

You may not assign or transfer your rights or obligations under these

Terms without our prior written consent. We may assign these Terms in

connection with a merger, acquisition, or sale of all or part of our

business.

Notices to Verifyd must be sent in writing to legal@verifyd.co.za.

Notices to you may be given by posting them on the Service or by

contacting you using the details (if any) you have provided.
